Terms of Use
Last updated: 22 September 2026
Before you access our services, please read these Terms of Use carefully.
These Terms of Use (the “Terms”, and together with any applicable Supplemental Terms (as defined in Section 2.6), the “Agreement”) govern your use of Crios and the other products and services we may offer for individuals, together with any associated applications, software, APIs, and websites (collectively, our “Services”). This Agreement is a legally binding contract between you (“User”, “you”, “your”) and Crios Pte. Ltd., a company incorporated in Singapore (“Company”, “we”, “us”, “our”). By accessing or using our Services, you agree to be bound by this Agreement.
These Terms are the terms of use for our Services in the European Economic Area (“EEA”), the United Kingdom (“UK”), Switzerland, and the Asia-Pacific region, and in every other region for which we do not publish region-specific terms. Where these Terms refer to a “Consumer”, they mean an individual who uses the Services for purposes that are wholly or mainly outside that individual’s trade, business, craft, or profession. Nothing in these Terms limits or excludes any right or remedy that you have as a Consumer under the mandatory law of your country of residence; where these Terms conflict with such law, the law prevails.
Please note:
- Our Privacy Policy describes how we collect and use personal information. It is an important document that you should read.
- Our Master Services Agreement governs Crios Enterprise, Crios team and organization plans, our APIs, and our other services for businesses and developers. If you use those commercial services, your use is subject to the separate Crios Master Services Agreement and the corresponding order form, which prevail over these Terms in case of conflict.
- All questions, notices, complaints, cancellation and withdrawal requests, and reports under these Terms can be sent to a single address: support@crios.ai.
PLEASE READ THIS AGREEMENT CAREFULLY. IF YOU USE THE SERVICES FOR BUSINESS PURPOSES, OR IF YOU ARE NOT A CONSUMER RESIDENT IN THE EEA, THE UK, OR SWITZERLAND, YOU AND WE AGREE THAT DISPUTES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES, WITH LIMITED EXCEPTIONS, WILL BE RESOLVED BY BINDING AND FINAL ARBITRATION SEATED IN SINGAPORE UNDER THE RULES OF THE SINGAPORE INTERNATIONAL ARBITRATION CENTRE, ON AN INDIVIDUAL BASIS, AS FURTHER SET OUT IN SECTION 12. IF YOU ARE A CONSUMER, SECTION 12 APPLIES TO YOU ONLY TO THE EXTENT PERMITTED BY THE MANDATORY LAW OF YOUR COUNTRY OF RESIDENCE, AND CONSUMERS IN THE EEA, THE UK, AND SWITZERLAND MAY BRING CLAIMS IN THE COURTS OF THEIR COUNTRY OF RESIDENCE AS SET OUT IN SECTION 12.5.
THIS AGREEMENT APPLIES TO ALL USERS VISITING OR ACCESSING THE SERVICES. BY ACCESSING OR USING THE SERVICES IN ANY WAY, ACCEPTING THIS AGREEMENT, OR COMPLETING THE ACCOUNT REGISTRATION PROCESS, YOU REPRESENT THAT: (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS AGREEMENT; (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH COMPANY; (3) YOU ARE NOT BARRED FROM USING THE SERVICES UNDER THE LAWS OF YOUR PLACE OF RESIDENCE; AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT PERSONALLY OR, IF YOU ARE ACCESSING OR USING THE SERVICES ON BEHALF OF AN ENTITY, ON BEHALF OF THAT ENTITY. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, YOU MAY NOT ACCESS OR USE THE SERVICES. YOU MUST BE THE AGE OF MAJORITY IN YOUR PLACE OF RESIDENCE AND, IN ANY EVENT, AT LEAST 18 YEARS OLD.
IF YOU SUBSCRIBE TO ANY FEATURE OR FUNCTIONALITY OF THE SERVICES FOR A TERM (THE “INITIAL TERM”), YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR ADDITIONAL PERIODS OF THE SAME DURATION AT COMPANY’S THEN-CURRENT FEE UNLESS YOU CANCEL IN ACCORDANCE WITH SECTION 4.1 BELOW. YOU CAN CANCEL AT ANY TIME IN YOUR ACCOUNT SETTINGS OR BY EMAILING SUPPORT@CRIOS.AI.
THIS AGREEMENT IS SUBJECT TO CHANGE BY COMPANY AS SET FORTH IN SECTION 14.6.
1. Artificial Intelligence Disclaimer
Crios is an autonomous AI software engineering platform: it uses artificial intelligence (“AI”) systems and machine-learning models to plan, write, review, test, and publish software and other content in response to your instructions. AI and machine learning are rapidly evolving fields. When using the Services, you need to be aware of the following:
1.1 Basic Understanding and Responsibility
- You acknowledge that you are interacting with AI systems. Where applicable law (including Regulation (EU) 2024/1689, the EU Artificial Intelligence Act) requires it, we will tell you that you are interacting with an AI system and that certain Output is AI-generated.
- AI systems are probabilistic. They may misunderstand instructions and may produce errors, including errors that are difficult to detect.
- To the extent permitted by applicable law, Company is not responsible for misunderstandings or inaccuracies produced by AI.
- Output (as defined below), including applications published through the Services, may include “Built with Crios” or similar identifiers. These identifiers are technical components of the system and may not be removable in all cases.
1.2 User Responsibilities
- You are responsible for independently reviewing all Output — including generated source code, configurations, infrastructure definitions, and published applications — before relying on it or putting it into production use.
- You should exercise your own judgment before relying on any Output.
- You are fully responsible for monitoring and approving the use of Output.
- You assume responsibility for any decisions, actions, or omissions based on Output.
1.3 Inherent Limitations of AI Functionality
- Output may contain errors, security vulnerabilities, or inaccurate information.
- Generated code may fail, behave unexpectedly, or be unfit for your purpose.
- AI may struggle with nuance, ambiguity, and context in instructions.
- AI outputs may reflect biases present in model training data.
- AI has limitations in complex reasoning and judgment tasks.
- Output quality depends on the models you select or configure and on the quality of your Input.
2. Access and Use
2.1 Access Rights
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your own purposes in accordance with this Agreement. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, subject to Section 14.6 and to any notice required by applicable law where you are a Consumer. You agree not to use the Services in any way that could damage their functionality or accessibility.
2.2 Account Responsibilities
To access most Services you must register an account and provide information that is accurate, current, and complete, and keep it updated. You must not impersonate others or provide false information. You must keep your login credentials and personal access tokens confidential, and you are responsible for all activity under your account, except to the extent that activity results from Company’s failure to secure the Services. If you detect unauthorized use of your account or a security breach, you must notify us immediately at support@crios.ai. We reserve the right to disable your account if you violate this Agreement or provide false information.
2.3 Prohibited Conduct
As a condition of use, you agree not to use the Services for any purpose prohibited by this Agreement or by applicable law, or by any other documentation, guidelines, or policies we make available to you, including any usage policy we publish.
You shall not (and shall not permit any third party to): (i) license, sell, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit the Services or any portion of them; (ii) frame or use framing techniques to enclose any trademark, logo, or other portion of the Services; (iii) use metatags or other hidden text using Company’s name or trademarks; (iv) modify, translate, adapt, merge, make derivative works of, disassemble, decompile, or reverse engineer any part of the Services, except to the extent these restrictions are prohibited by applicable law (including the interoperability provisions of Directive 2009/24/EC and equivalent laws); (v) use manual or automated software, devices, or processes to scrape or download data from the Services; (vi) remove or destroy any copyright notices or proprietary markings; (vii) impersonate any person or entity, including any employee or representative of Company; (viii) attempt to escape, probe, or defeat the sandbox isolation, network policies, or other security boundaries of the Services, or use the Services to attack, scan, or gain unauthorized access to any system; or (ix) otherwise interfere or attempt to interfere with the proper functioning of the Services, including by introducing malicious code or by overloading, flooding, spamming, or crashing the Services.
Abuse is prohibited. Abuse includes: (i) using false information, multiple accounts, or automated tools to obtain credits, promotional benefits, or free capacity; (ii) circumventing usage rules, quotas, or budgets, or exploiting system vulnerabilities; (iii) using the Services for illegal, harmful, or inappropriate purposes, including creating Published Apps (as defined below) that violate applicable law or our usage policies; and (iv) violating other provisions of this Agreement. Upon discovering Abuse, Company may: (i) deduct credits or disqualify you from promotions; (ii) suspend your account temporarily or permanently; (iii) suspend, unpublish, or remove a Published App that Company reasonably determines to be illegal or in violation of our policies; and (iv) take legal action for severe abuse. Where we restrict, suspend, or remove content or access, we will give you a statement of our reasons and an opportunity to contest the decision as described in Section 13, except where doing so is prohibited by law or would compromise an investigation or the security of the Services.
The rights granted to you under this Agreement are conditioned on your compliance with this section. Any unauthorized use of the Services terminates the licenses granted by Company under this Agreement.
2.4 Usage Restrictions
The Services may impose usage limits on specific features, such as limits on concurrent sessions, sandbox resources, storage, model usage, publishing capacity, or other system resources. Applicable limits are set out in the documentation, plan descriptions, or policies we make available to you.
2.5 Teams and Organizations
The Services allow use within a team or organization (an “Organization”). If you join an Organization, its owners and administrators may access and manage sessions, projects, spend, and other activity within that Organization in accordance with their role permissions and the Organization’s configuration. Organization, Enterprise, and API use is governed by the Crios Master Services Agreement; in case of any inconsistency between these Terms and the Master Services Agreement with respect to such use, the Master Services Agreement prevails.
2.6 Supplemental Terms
Your use of certain features may be subject to additional terms (“Supplemental Terms”), which will either be set out in the applicable feature or presented for your acceptance when you sign up to use it. If these Terms are inconsistent with Supplemental Terms, the Supplemental Terms control for the applicable feature.
2.7 Third-Party Accounts and Integrations
The Services can connect to accounts and services you maintain with third parties — for example GitHub, GitLab, Jira, Slack, model providers, and services reachable through Model Context Protocol (MCP) servers or similar integration points (each a “Third-Party Account”). By connecting a Third-Party Account, you represent that you are entitled to grant Company access to it without breaching the terms that govern it and without obligating Company to pay fees or subjecting Company to usage limits imposed by the third party. You understand that the Services may access, make available, and store content from your Third-Party Accounts — such as repositories, issues, tickets, and messages (“Third-Party Account Content”) — so that it is available through the Services. Unless otherwise specified, Third-Party Account Content is considered Your Content (as defined below) for all purposes of this Agreement.
You acknowledge that actions the Services perform through your connected Third-Party Accounts — such as creating branches, commits, pull or merge requests, comments, or ticket updates — are performed on your behalf and may be attributed to you by the third-party service, and that you are solely responsible for compliance with the third party’s terms. Company is not liable for any consequence of a third-party service detecting, restricting, or terminating your access due to automated operations performed at your direction. YOUR RELATIONSHIP WITH THIRD-PARTY SERVICE PROVIDERS IS GOVERNED SOLELY BY YOUR AGREEMENTS WITH THEM, AND COMPANY DISCLAIMS LIABILITY FOR PERSONALLY IDENTIFIABLE INFORMATION PROVIDED TO IT BY SUCH PROVIDERS IN VIOLATION OF PRIVACY SETTINGS YOU HAVE CONFIGURED WITH THEM.
2.8 Programmatic Access
Where the Services offer programmatic access (for example via APIs, personal access tokens, webhooks, or an MCP server), you are responsible for safeguarding your tokens and for all activity performed with them. We may throttle, suspend, or revoke programmatic access that degrades the Services or violates this Agreement.
2.9 Published Apps and Your Responsibilities
The Services may allow you to build, publish, host, and operate public-facing websites, applications, or services — on a subdomain provided by the Services or on a custom domain you connect (collectively, “Published Apps” and each a “Published App”). You act as the owner and operator of your Published Apps. You understand and agree that when you publish and operate any Published App:
- Company acts only as a platform and hosting service provider (an intermediary “hosting service” within the meaning of Regulation (EU) 2022/2065, the Digital Services Act, and equivalent laws) and is not the operator or content publisher of your Published App or of any content, data, or materials made available on it (“Published App Content”). You are the independent provider and controller of your Published App and are solely responsible for it, its content, and all commercial or non-commercial activity you conduct through it. Company is not a party to your relationship with the end users of your Published App (“End Users”) and bears no responsibility toward your End Users.
- You are solely responsible for: (a) ensuring your Published App and its content comply with all applicable laws, regulations, and industry standards in every jurisdiction where you operate it or where your End Users reside, including e-commerce, consumer protection, marketing, data protection, and accessibility laws; (b) ensuring your Published App Content does not violate third-party rights, including intellectual property and privacy rights; (c) providing your End Users with your own privacy policy, cookie policy, terms of use, and refund policy as required; (d) if you act as a trader, providing your End Users with the legally required information about your identity, address, and contact details (for example, a legal notice or imprint); (e) handling all inquiries, complaints, disputes, and support requests from your End Users; and (f) if your Published App accepts payments, acting as the merchant of record, including payment processing, refunds, taxes, and fraud prevention. Company is not the seller or merchant of record and has no responsibility for your products, services, or transactions with your End Users.
- If a Published App displays Crios-related identifiers (such as “Built with Crios”) by default, such identifiers are technical usage traces only and do not constitute Company’s endorsement, sponsorship, or recommendation of the Published App, nor any partnership, affiliation, or guarantee. Company is not liable for the display of such identifiers, their removability, or any dispute arising from them.
2.10 Sandboxed Sessions
Work performed by the Services runs inside isolated, ephemeral sandbox environments with managed lifecycles and resource budgets. Sandboxes and their contents may be reclaimed, reset, or deleted when a session ends or after a period of inactivity. Unless expressly stated otherwise, sandbox environments are not a storage service; you are responsible for persisting anything you want to keep (for example by committing to a repository or downloading artifacts).
3. Ordering and Fees
3.1 Third-Party Payment Processors
Company uses Stripe as its third-party payment processor (the “Payment Processor”). If you make a purchase, you will provide your payment details and any information required to complete the order directly to the Payment Processor. You agree to be bound by Stripe’s Privacy Policy (https://stripe.com/privacy) and its applicable service terms, and you authorize Company and the Payment Processor to share the information and payment instructions you provide to the minimum extent required to complete your transactions. Online payments may be subject to validation checks by the Payment Processor and your card issuer; we are not responsible if your issuer declines a payment or charges you handling, currency-conversion, or processing fees.
3.2 Payment and Order Processing
You shall pay all fees and charges (“Fees”) in accordance with the fees, charges, and billing terms in effect when a Fee is due and payable. By providing your payment information you authorize Company and/or the Payment Processor to invoice your account for all Fees due, without additional notice or consent. You must promptly notify Company of any change to your payment information. Company may change its prices and billing methods in accordance with Section 4.2. Failure to provide accurate payment information or our inability to collect payment is a material breach of this Agreement. Except as set forth in this Agreement or required by applicable law, all Fees are non-refundable.
3.3 Taxes
Unless stated otherwise at checkout, Fees are exclusive of any applicable goods and services tax, value-added tax, consumption tax, sales or use tax, withholding tax, or functionally equivalent tax (“Sales Tax”). If Company has a legal obligation to collect Sales Tax from you, Company will collect it in addition to the Fees. Where the law of your country of residence requires prices shown to Consumers to include taxes, the price shown to you at checkout is the total price including applicable Sales Tax. If any services or payments under this Agreement are subject to Sales Tax in any jurisdiction and you have not remitted the applicable Sales Tax to Company, you are responsible for paying it together with any related penalties or interest, and (if you are not a Consumer) you shall indemnify Company for any liability or expense incurred in connection with such Sales Tax. Business users must provide a valid VAT, GST, or equivalent registration number on request.
4. Subscriptions, Credits, and Refunds
4.1 Subscription Management
Certain Services, or portions of them, are available only with a paid subscription. Depending on the plan you select, you will be billed periodically in advance. At the end of each billing cycle your subscription automatically renews for a period of the same duration at the then-current pricing unless cancelled by you or by us. By subscribing, you authorize Company to charge the payment method on your account at the start of each subscription period. You can cancel renewal at any time in your account settings or by emailing support@crios.ai; cancellation takes effect at the end of the current billing period, and you retain access until then. Except as provided in Section 4.4 or required by applicable law, you will not receive a refund for fees already paid for the current period. Where the law of your country of residence requires it, we will remind you before a renewal and provide a cancellation mechanism that is at least as simple as the one you used to subscribe.
4.2 Billing and Fee Changes
You must provide accurate and complete billing information. If automatic billing fails, Company may issue an electronic invoice requiring manual payment by a specified due date. We reserve the right to modify subscription fees; changes take effect at the end of the current subscription period. We will give you reasonable advance notice of fee changes — at least thirty (30) days where you are a Consumer — so you can cancel before they take effect. Continued use of the Services after a fee change takes effect constitutes your agreement to the modified fees.
4.3 Credits
The Services operate in part on a credit system. Credits may be purchased, earned, or granted through promotions or subscriptions (“Credits”). Each use of the Services consumes Credits based on factors such as model tier, task complexity, sandbox resources, and duration, as determined by Company. Company retains discretion to determine the value of a Credit and the consumption rate of each feature, and makes no guarantee that a specific number of Credits will yield a fixed quantity or quality of Output. Company may modify the number of Credits required for specific features, reflecting system demand, operational costs, new features, or technical changes; where a change is material and adverse to you and you are a Consumer, we will give you reasonable advance notice. While Company may provide usage information and consumption estimates, it is not liable for discrepancies between projected and actual usage.
Credits expire in accordance with the credit rules we publish, as updated from time to time, to the extent permitted by applicable law. Credit purchases are final and non-refundable except as provided in Section 4.4 or required by law. Upon termination of your account for any reason, unused Credits may be forfeited without compensation, except where you are a Consumer and the termination is not due to your breach, in which case we will refund the unused portion of purchased Credits where required by law. If Company finds that Credits were obtained or used fraudulently, it may invalidate those Credits and take appropriate legal action. Credits may only be used by the account to which they were issued and may not be transferred, resold, or exchanged for cash or other value.
4.4 Refund Policy
General. Except as set out in this Section 4.4 or required by applicable law, all payments for subscriptions, Credits, or other paid features are final and non-refundable. Once access to a paid service or Credits has been granted, Company has performed its obligations and no refund will be issued. Company may, at its reasonable discretion, consider a partial refund in exceptional circumstances; any such goodwill refund will be calculated based on the proportion of unused Credits or unused subscription time, excluding discounts, promotions, and taxes.
Statutory right of withdrawal (EEA, UK, and Turkey). If you are a Consumer resident in the EEA, the UK, or Turkey, you have the right to withdraw from a purchase made through the Services within fourteen (14) days of concluding the contract, without giving any reason, in accordance with Directive 2011/83/EU, the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or the Turkish Distance Contracts Regulation, as applicable. To exercise this right, send an unequivocal statement of your decision to withdraw (for example, by email to support@crios.ai) before the withdrawal period expires. You may, but need not, use the model withdrawal form at the end of this Section 4.4. We will refund all payments received from you for the withdrawn purchase without undue delay and no later than fourteen (14) days after we receive your withdrawal notice, using the same payment method you used, unless you expressly agree otherwise.
Please note the following, which apply where permitted by the laws named above: (a) if you ask us to begin providing a subscription or other digital service during the withdrawal period and then withdraw, you must pay us an amount proportionate to what was provided until you informed us of your withdrawal, and we will refund the remainder; and (b) if you purchase Credits or other digital content that is delivered immediately, you expressly consent at checkout to immediate performance and acknowledge that you lose your right of withdrawal once performance has begun. We will confirm your consent and acknowledgement on a durable medium (for example, in your order confirmation email).
Other jurisdictions. If you are a Consumer in a jurisdiction whose law grants you a statutory right to cancel or withdraw from distance or online purchases (for example, the Republic of Korea), or a statutory right to a refund where a service is not provided with due care and skill or is not fit for purpose (for example, under the Australian Consumer Law or the Singapore Consumer Protection (Fair Trading) Act 2003), you may exercise that right in accordance with, and within the period prescribed by, that law by contacting support@crios.ai. Nothing in this Section 4.4 limits those rights or your statutory remedies for digital services that do not conform to the contract.
Processing. Statutory refunds are processed within the period required by law. Goodwill refunds, if approved, are processed to your original payment method within one to fifteen (1–15) business days depending on your payment institution.
Without prejudice to your statutory rights, we may refuse a goodwill refund if:
- your account has been restricted, suspended, or terminated due to policy violations, abuse, or fraud;
- you have already received a prior refund for similar products or services;
- you purchased the credits, subscription, or service via promotions, coupons, or discounted pricing; or
- the request is made after the applicable period or relates to used Credits or consumed services.
Company may refuse or limit goodwill refund requests to prevent abuse. For any refund inquiry, contact support@crios.ai.

5. Artificial Intelligence and Content
5.1 Your Responsibility
Subject to your compliance with this Agreement, you may submit or make available information, data, text, source code, repositories, files, images, and other materials to the Services (“Content”), including briefs, prompts, instructions, comments, follow-up guidance, and other input (collectively, “Input”). You, and not Company, are entirely responsible for all Input you make available through the Services, including Third-Party Account Content. When you make Input available, you represent that you own or have sufficient rights to use it in connection with the Services, including to grant the license in Section 5.3. In response to your Input, the Services — together with the Model Providers defined below — may generate new Content, including plans, source code, applications, documentation, Published Apps, and Published App Content (collectively, “Output”). You acknowledge that Output is based on your Input and that Company has no control over or responsibility for your Input.
Subject to Section 9.2, all Output is provided “as is” and with all faults. Company makes no representations or warranties with respect to any Input or Output, including warranties of accuracy, completeness, security, fitness, or suitability. You are solely responsible for your use of Output (including your Published Apps), and you assume all risks associated with that use, including potential intellectual-property claims from third parties, claims by your End Users relying on your Published Apps, decisions made or actions taken in reliance on Output, and disclosure of Output that personally identifies you or any third party.
You represent and warrant that you are solely responsible for the accuracy, completeness, appropriateness, and legality of your Input, and that you have provided all required notices and obtained all licenses, permissions, and consents required — including under applicable data protection laws such as the EU and UK General Data Protection Regulation and the Singapore Personal Data Protection Act 2012 — from all third parties to whom the Input relates, to enable us to access, use, and process your Input in connection with the Services.
5.2 Content Ownership
Company does not claim ownership of any Input or Output (collectively, “Your Content”). Subject to Section 5.3, as between Company and you, you own all right, title, and interest in Your Content. Notwithstanding the foregoing, given the nature of the Services, you acknowledge that: (a) Output may not be unique across users, and the Services may generate the same or similar output for other users; and (b) Company does not represent or warrant that Output is protectable by intellectual property rights under applicable law. With respect to Published Apps, you further represent, warrant, and covenant that your Published App Content does not and will not infringe any third-party rights, and Company may remove Published App Content upon receipt of a third-party infringement claim or a notice under Section 13.
5.3 License
You grant Company and its affiliates, successors, and assigns a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable right to: (a) during your use of the Services, copy, display, upload, perform, distribute, store, modify, and otherwise use Your Content to provide and operate the Services (for example, running sessions, hosting Published Apps, and generating Output at your request) and to monitor compliance with this Agreement; and (b) on a perpetual and irrevocable basis, use Your Content in an aggregated and de-identified manner to improve the Services and to create Usage Data (as defined in Section 6.1). Our use under this license does not imply endorsement or ownership of Your Content. If we process personal information contained in Your Content, we process it as explained in our Privacy Policy or, where applicable, our Data Processing Addendum.
5.4 Model Providers
The Services rely on third-party artificial intelligence platforms, models, and inference services — and, where you configure them, model endpoints that you supply — to power AI functionality (“Model Providers”). By using these functions, you consent to and authorize Company to share the Content you provide with one or more Model Providers as needed to complete your request. Model Providers may be located outside your country of residence, including outside the EEA, the UK, and Singapore; where Content includes personal information, such transfers are made subject to the safeguards described in our Privacy Policy. You acknowledge that Model Providers may not be required to maintain the confidentiality of Your Content and that additional terms may apply to specific Model Providers, including rights they may retain to use or disclose content submitted to them under their own terms.
If you connect your own model provider accounts or API keys (“BYO Keys”): your relationship with that provider is governed solely by your agreement with them; you are responsible for all fees the provider charges you; and you are responsible for ensuring your use of the provider through the Services complies with the provider’s terms. Company will have no liability for the acts, omissions, unavailability, or discontinuation of any Model Provider. YOU, AND NOT COMPANY, ARE SOLELY RESPONSIBLE FOR YOUR USE OF FUNCTIONS THAT RELY ON MODEL PROVIDERS. ANY DECISIONS MADE OR CONDUCT UNDERTAKEN AS A RESULT OF INFORMATION OR OUTPUT PRODUCED BY MODEL PROVIDERS IS AT YOUR OWN RISK, AND, SUBJECT TO SECTION 11, COMPANY WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR INACCURATE OR INAPPROPRIATE OUTPUT OR FOR DECISIONS MADE IN RELIANCE ON IT.
5.5 Content Restrictions
Your use of the Services (including creating and operating Published Apps) must comply at all times with this Agreement, any applicable Model Provider terms, and any documentation, guidelines, or policies we make available. Without limiting the foregoing, you must not submit Input, or attempt to create Output, that: (A) is unlawful under the law of any country in which it is made available (including the EU Member State or other country from which it is accessed), threatening, abusive, harassing, defamatory, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, or offensive; (B) infringes or misappropriates any third party’s intellectual property or other proprietary rights; (C) contains viruses, worms, spyware, or other malicious code intended to damage or disrupt systems or data, or is intended to enable attacks on, or unauthorized access to, systems you are not authorized to test; (D) contains sensitive personal information that the Services are not designed to handle, including government-issued identification numbers, health information, biometric or genetic data, financial account credentials, precise geolocation, personal information of children under 16, or data revealing racial or ethnic origin, political views, religious beliefs, trade-union membership, or sexual orientation; or (E) involves unauthorized commercial activities such as pyramid schemes or deceptive promotions. You may not make available any Content that includes an identifiable person or their personal characteristics without that person’s express consent.
5.6 Content Storage
Unless expressly agreed by Company in writing or required by applicable law, Company has no obligation to store Your Content. To the extent permitted by law, Company has no responsibility or liability for the deletion or accuracy of any Content; the failure to store, transmit, or receive any Content; or the security, privacy, storage, or transmission of other communications involving the Services. Sandbox environments are ephemeral as described in Section 2.10.
5.7 Third-Party Websites, Applications, and Services
The Services may contain links to, or allow or require you to integrate, third-party websites, applications, and services — including payment processors, source-control and ticketing platforms, authentication providers, analytics tools, and Model Providers (collectively, “Third-Party Services”). Third-Party Services are not under Company’s control, and Company is not responsible for them. Company provides them only as a convenience and does not review, approve, monitor, endorse, or warrant them.
If you, as the operator of a Published App, choose to integrate Third-Party Services (for example a payment provider or an authentication provider), you are responsible for: creating and managing your accounts with those third parties; ensuring your use complies with their terms and applicable law; handling all transactions, disputes, refunds, fraud claims, and data incidents arising from them; maintaining the security of your credentials with them; and verifying their technical compatibility and performance. To the extent permitted by law, Company is not liable for Third-Party Services, including their availability, performance, security, content, data practices, or any loss or damage suffered by you or your End Users from their use. You use Third-Party Services at your own risk, and you release Company from any claims arising in connection with them. When you leave the Services, this Agreement and our policies no longer govern.
5.8 Content Sharing and Export
The Services provide tools to export Your Content to third parties or Third-Party Services — for example pushing commits and pull requests to your repositories, posting updates to issue trackers or chat tools, or publishing applications. By using these tools, you agree that Company may transfer the relevant information to the applicable third party. Company is not responsible for any third party’s use of your exported information.
6. Intellectual Property
6.1 Ownership
We do not own your Input or Output (as described in Section 5.2). We retain all right, title, and interest in and to the Usage Data (as defined below), the Services (including the skills, expertise, and methods used to provide them), and any improvements, enhancements, or modifications thereof, including all Intellectual Property Rights. “Intellectual Property Rights” means patents, rights to inventions, copyrights and related rights, moral rights, data and database rights, rights in software code, domain names, trademarks, logos and trade names, goodwill and rights against passing off, design rights, rights in confidential information, and all other intellectual property rights, registered or unregistered, including applications, renewals, extensions, and equivalent forms of protection anywhere in the world.
“Crios”, “Crios”, and all related stylizations, graphics, logos, service marks, and trade names used on or with the Services are trademarks of Company. We grant you, by default and at no charge, a limited, non-exclusive, non-transferable, revocable license to use the Crios name and logo solely to accurately state that you use the Services or that your Output or Published App was built with Crios (for example, a “Built with Crios” notice), subject to any brand guidelines we publish. Such use must not suggest endorsement, sponsorship, or affiliation beyond your use of the Services, and any other use of our trademarks requires our permission. Names and logos of other companies, products, and services displayed in the Services may be trademarks of their respective owners.
You authorize Company and its service providers to generate data, information, insights, statistics, and telemetry relating to the provision and use of the Services (“Usage Data”).
6.2 Third-Party and Open-Source Software
The Services may include intellectual property, including open-source software, owned by third parties and licensed under separate terms (“Third-Party Terms”). You agree to comply with applicable Third-Party Terms. In addition, Output may include, depend on, or be derived from open-source components whose licenses impose obligations (such as notice, attribution, or copyleft requirements) on your use or distribution of the Output. You are responsible for reviewing and complying with any such license obligations before using or distributing Output. To the extent permitted by law, Company is not liable for losses, damages, costs, or expenses you incur in connection with third-party intellectual property or Third-Party Terms.
6.3 Feedback
You agree that any ideas, suggestions, documents, or proposals you submit to Company through feedback channels or to support@crios.ai (“Feedback”) are submitted at your own risk and that Company has no obligations (including of confidentiality) with respect to Feedback. You represent that you have the rights necessary to submit the Feedback, and you grant Company a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, fully sublicensable right and license to use, reproduce, display, distribute, adapt, modify, create derivative works of, and otherwise exploit Feedback in any manner in connection with the Services and Company’s business.
7. Term and Termination
This Agreement commences on the date you accept it and continues in full force while you use the Services, unless terminated earlier in accordance with this Agreement.
If you materially breach any provision of this Agreement or any applicable usage policy, or if Company is required to do so by law, Company may immediately and without notice suspend or terminate any Services provided to you. Company also reserves the right to terminate this Agreement or your access to the Services without cause upon notice to you; where you are a Consumer, we will give you at least thirty (30) days’ notice of a termination without cause, and we will refund any prepaid Fees for the period after termination takes effect. Terminations for cause are made in Company’s reasonable discretion, and, subject to Section 11, Company is not liable to you or any third party for termination of your account.
You may terminate this Agreement at any time by closing your account in your account settings or by emailing support@crios.ai.
Upon termination, your right to use the Services automatically ends, and we may delete Your Content stored on the Services, including unpublishing your Published Apps. Before closing your account you should export anything you want to keep (for example by pushing to your repositories or downloading artifacts). Where you are a Consumer and applicable law (including Directive (EU) 2019/770) grants you a right to retrieve content you provided or created when using the Services, we will make that content available to you on request within a reasonable period after termination, free of charge and in a commonly used, machine-readable format. If we terminate your account for cause, we may also bar your further access. Subject to Section 11, Company has no liability for any suspension or termination, including deletion of Your Content. All provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability. If your account is terminated for cause, you agree not to re-register or access the Services under a different identity.
8. Privacy and Data Protection
8.1 Privacy Policy
We process your personal information as data controller for the purposes of (a) providing the Services (unless you use the Services on behalf of your enterprise) and (b) managing your relationship with us under these Terms, including billing, payment, and marketing activities, as described in our Privacy Policy. When you operate a Published App and provide services to your End Users, you are the independent data controller of your End Users’ personal information collected through the Published App; we provide data processing, storage, and hosting only in accordance with your instructions (implemented through Service functions), acting as your data processor.
8.2 Enterprise Processing
If you use the Services to process personal information on behalf of your enterprise, you and we shall (a) process personal information in accordance with applicable law and (b) execute our Data Processing Addendum.
8.3 International Transfers
Company is established in Singapore and uses service providers in several countries. Personal information may therefore be transferred outside your country of residence, including outside the EEA, the UK, and Singapore. Where we do so, we rely on the safeguards described in our Privacy Policy (such as the European Commission’s standard contractual clauses, the UK International Data Transfer Addendum, and the transfer requirements of the Singapore Personal Data Protection Act 2012). Data protection questions and requests can be sent to support@crios.ai.
9. Disclaimer
9.1 Service Disclaimer
YOU EXPRESSLY UNDERSTAND AND AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW AND SUBJECT TO SECTION 9.2, YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK, AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS. THE COMPANY PARTIES (AS DEFINED BELOW) EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT ARISING FROM USE OF THE SERVICES, OUTPUT, OR YOUR CONTENT.
THE COMPANY PARTIES MAKE NO WARRANTY OR REPRESENTATION THAT: (I) THE SERVICES OR ANY OUTPUT WILL MEET YOUR REQUIREMENTS; (II) YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (III) ANY OUTPUT, ADVICE, RESULTS, OR INFORMATION OBTAINED THROUGH THE SERVICES WILL BE ACCURATE OR RELIABLE. COMPANY MAKES AVAILABLE OUTPUT PRODUCED WITH THIRD-PARTY MODEL PROVIDERS AND IS NOT THE PROVIDER OF ANY SUCH MODEL OR ITS OUTPUT. COMPANY DISCLAIMS ALL LIABILITY RESULTING FROM OR WITH RESPECT TO (I) THE OPERATION, MAINTENANCE, FAILURE, OR SECURITY OF ANY MODEL PROVIDER; (II) ANY ACT OR OMISSION OF ANY MODEL PROVIDER; (III) OUTPUT OR CONTENT GENERATED BY A MODEL PROVIDER; OR (IV) ANY DECISION OR ACTION YOU TAKE AS A RESULT OF ANY OF THE FOREGOING. WITH RESPECT TO ANY PUBLISHED APP THAT DISPLAYS CRIOS-RELATED IDENTIFIERS, COMPANY MAKES NO WARRANTIES WHATSOEVER REGARDING THE LEGALITY, ACCURACY, SECURITY, STABILITY, OR COMMERCIAL VIABILITY OF SUCH PUBLISHED APP, AND IS NOT LIABLE FOR ANY DAMAGES, LIABILITIES, LOSSES, OR CLAIMS ARISING FROM ITS OPERATION, CONTENT INFRINGEMENT, NON-COMPLIANCE WITH LAW, OR HARM TO THIRD PARTIES. THE COMPANY PARTIES FURTHER DISCLAIM ALL LIABILITY RESULTING FROM (I) ANY LOSSES, DAMAGES, OR DISPUTES BETWEEN YOU (OR YOUR PUBLISHED APP) AND YOUR END USERS; (II) THE ACTIONS, CONTENT, OR DATA OF PUBLISHED APPS OR END USERS; OR (III) ANY FAILURE, INTERRUPTION, OR DATA BREACH ORIGINATING FROM A THIRD-PARTY SERVICE INTEGRATED INTO A PUBLISHED APP.
9.2 Consumer Guarantees
If you are a Consumer, Section 9.1 applies only to the extent permitted by the mandatory law of your country of residence, and nothing in this Agreement excludes or limits the statutory guarantees and remedies that law gives you. In particular:
- EEA and UK. You have statutory rights regarding the conformity of digital content and digital services (including under Directive (EU) 2019/770 and the UK Consumer Rights Act 2015). If the Services do not conform to the contract, you may be entitled to have them brought into conformity, to a proportionate price reduction, or to terminate the contract, in accordance with that law. We will provide the updates, including security updates, that are necessary to keep the Services in conformity for the period required by law.
- Australia. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.
- Other Asia-Pacific jurisdictions. If you are a Consumer in Singapore, New Zealand, Japan, the Republic of Korea, India, or another jurisdiction whose consumer protection law (for example, the Singapore Consumer Protection (Fair Trading) Act 2003, the New Zealand Consumer Guarantees Act 1993, or the Japanese Consumer Contract Act) grants you rights that cannot be excluded or limited by contract, those rights prevail over this Section 9 and over Sections 10 and 11.
10. Indemnification
You shall indemnify and hold Company, its parents, subsidiaries, affiliates, officers, employees, agents, partners, suppliers, and licensors (each a “Company Party” and collectively the “Company Parties”) harmless from any losses, costs, liabilities, and expenses (including reasonable legal fees) relating to or arising out of: (i) Your Content or any use of Output by you; (ii) your use of, or inability to use, the Services; (iii) your violation of this Agreement; (iv) your violation of any rights of another party; (v) your violation of applicable laws, rules, or regulations, including data protection and consumer protection laws; (vi) any third-party claims, lawsuits, penalties, or expenses arising from Published Apps you create or operate (including Published App Content, content infringement, functional defects, compliance failures, or claims arising from the display of Crios identifiers on a Published App); or (vii) any dispute relating to transactions between you (or your Published App) and your End Users or processed through Third-Party Services. Company reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Company in asserting available defenses. This provision does not require you to indemnify a Company Party for that party’s own fraud, deception, false promise, misrepresentation, concealment, negligence, or unconscionable commercial practice.
If you are a Consumer, this Section 10 applies only to the extent permitted by the mandatory law of your country of residence, and your obligation is limited to losses that a court or tribunal of competent jurisdiction determines were caused by your breach of this Agreement or of applicable law. This section survives termination of your account, this Agreement, and your access to the Services.
11. Limitation of Liability
11.1 Exclusions
Notwithstanding anything to the contrary and to the fullest extent permitted by law, under no circumstances shall either party, its affiliates, or any licensors or suppliers of Company be liable for: (a) any consequential, indirect, special, incidental, or punitive damages; (b) any loss of profits, business, revenue, or anticipated savings; (c) any loss, damage, or interruption of data, networks, information systems, reputation, or goodwill; or (d) the cost of procuring substitute goods or services.
11.2 Cap
To the fullest extent permitted by law, the aggregate liability of Company and its affiliates under or in connection with this Agreement, the software, and the Services shall not exceed the total amount you actually paid to Company under this Agreement in the twelve (12) months preceding the event giving rise to the liability or, if you have paid nothing in that period, one hundred Singapore dollars (SGD 100).
11.3 Application
These exclusions and limitations apply: (a) to the fullest extent permitted by applicable law; (b) even if a party has been advised of, or should have been aware of, the possibility of such losses; (c) even if any remedy in this Agreement fails of its essential purpose; and (d) regardless of the theory or basis of liability, whether contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution, or otherwise.
11.4 Consumers
If you are a Consumer, Sections 11.1 to 11.3 apply to you only to the extent permitted by the mandatory law of your country of residence, and the following applies instead where that law so requires: Company is liable without limitation for damage caused intentionally or by gross negligence, for death or personal injury, under applicable product liability law, for fraud or fraudulent misrepresentation, and under any guarantee it has expressly given. For damage caused by slight negligence, Company is liable only where it has breached an essential contractual obligation (an obligation whose fulfilment is necessary for the proper performance of this Agreement and on whose fulfilment you may regularly rely), and such liability is limited to the damage that was foreseeable and typical for this type of contract when the Agreement was concluded. Company is responsible for loss or damage you suffer that is a foreseeable result of its breach of this Agreement or its failure to use reasonable care and skill, but not for loss or damage that is not foreseeable or that arises from your use of the Services for business purposes.
11.5 Non-Excludable Liability
NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY OF A COMPANY PARTY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE, (B) FRAUD OR FRAUDULENT MISREPRESENTATION, (C) WILFUL MISCONDUCT OR GROSS NEGLIGENCE WHERE SUCH LIABILITY CANNOT BE EXCLUDED, OR (D) BREACH OF STATUTORY CONSUMER GUARANTEES DESCRIBED IN SECTION 9.2.
12. Governing Law and Dispute Resolution
12.1 Governing Law
Except as otherwise provided in these Terms or required by mandatory law, these Terms and your use of the Services are governed by the laws of Singapore, without regard to its conflict of laws provisions. If you are a Consumer resident in the EEA, the UK, or Switzerland, this choice of law does not deprive you of the protection afforded by provisions of the law of your country of habitual residence that cannot be derogated from by agreement, and those provisions apply to you in addition to Singapore law. If you are a Consumer elsewhere in the Asia-Pacific region, the mandatory consumer protection law of your country of residence continues to apply to you where that law so provides. Your use of the Services may also be subject to other local, national, or international laws.
12.2 Informal Dispute Resolution
If you have any dispute, claim, or controversy arising out of or relating in any way to these Terms or the Services, including claims and disputes that arose before the effective date of these Terms (a “Dispute”), you agree to first attempt to resolve the Dispute informally. You and Company agree to participate in good-faith informal efforts to resolve Disputes before commencing arbitration or court proceedings. To initiate this process, a party must send the other party a written notice of dispute (“Notice”). Notice to Company must be sent by email to support@crios.ai and must include your name, the email address associated with your account, a description of the claims you assert, and the specific relief you seek. Company will send any Notice to you at the email address associated with your account. The informal dispute resolution process lasts forty-five (45) days from receipt of a valid Notice. For business users and other non-Consumers, it is a mandatory precondition to commencing arbitration. For Consumers, this step is encouraged but voluntary and does not limit your right to bring a claim in the courts or tribunals described in Sections 12.5 and 12.6 at any time. Applicable statutes of limitation and filing deadlines are tolled while the parties engage in this process, to the extent permitted by law.
12.3 Binding Arbitration (SIAC)
Except as provided in Sections 12.4 to 12.6, any Dispute not resolved informally within the 45-day period shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC in force when the notice of arbitration is submitted, which rules are deemed incorporated by reference into this clause. The seat of the arbitration shall be Singapore. The tribunal shall consist of one (1) arbitrator, appointed by mutual agreement of the parties or, failing agreement within thirty (30) days of the notice of arbitration, appointed in accordance with the SIAC Rules. The language of the arbitration shall be English. The arbitrator shall award only such relief as is permitted under these Terms. Unless the arbitrator determines otherwise in the final award, each party bears its own legal costs and the parties share the fees of the arbitrator equally. The award shall be final and binding, and judgment on it may be entered in any court of competent jurisdiction. Hearings may be conducted remotely where the tribunal considers it appropriate.
If you are a Consumer, this Section 12.3 applies to you only to the extent that the mandatory law of your country of residence permits pre-dispute arbitration agreements with consumers. Where that law does not permit such agreements, gives you the right to cancel or decline an arbitration agreement (as, for example, under Japanese law), or otherwise entitles you to bring claims before your local courts or tribunals, you may instead bring your individual claim in the courts or tribunals of your country of residence, and Company will bring any claim against you only in those courts or tribunals.
12.4 Exceptions
This Section 12 does not require informal dispute resolution or arbitration of the following: (i) individual claims within the jurisdiction of a small claims court or tribunal (including, in Singapore, the Small Claims Tribunals, and equivalent bodies elsewhere) if the claim qualifies; and (ii) applications for injunctive or other equitable relief to stop unauthorized use or abuse of the Services or infringement or misappropriation of intellectual property. Notwithstanding anything to the contrary in these Terms, either party may apply to a court of competent jurisdiction for interim or conservatory relief.
12.5 Consumers in the EEA, the UK, and Switzerland
If you are a Consumer resident in the EEA, the UK, or Switzerland, you benefit from the mandatory provisions of the law of your country of residence, and nothing in these Terms affects your rights to rely on them. Sections 12.2 (except as a voluntary step) and 12.3 do not apply to you. Any Dispute between you and Company may be brought before the competent courts of the country in which you are habitually resident, and Company will bring any claim against you only before those courts. You may also bring proceedings in Singapore if you prefer.
Alternative dispute resolution. We will try to resolve any complaint through the informal process in Section 12.2. Unless we are required to do so by law, we are not obliged to participate, and do not commit to participating, in dispute resolution proceedings before a consumer arbitration board or other alternative dispute resolution entity. You may nevertheless have the right to refer a Dispute to a certified alternative dispute resolution body in your country of residence under Directive 2013/11/EU or equivalent national law; we will inform you of any such body that is competent for us on request. Nothing in these Terms affects any right you may have to participate in a representative action under Directive (EU) 2020/1828 or equivalent national law.
12.6 Consumers in the Asia-Pacific Region
If you are a Consumer resident in Singapore, Australia, New Zealand, Japan, the Republic of Korea, Hong Kong SAR, Taiwan, India, Indonesia, Malaysia, the Philippines, Thailand, Vietnam, or another jurisdiction in the Asia-Pacific region, you benefit from the mandatory consumer protection law of your country of residence. Where that law gives you the right to bring a claim before your local courts, consumer tribunals, or dispute resolution schemes (for example, the Singapore Small Claims Tribunals or Consumers Association of Singapore mediation, an Australian state or territory civil and administrative tribunal, the New Zealand Disputes Tribunal, or a Japanese or Korean consumer dispute resolution body), nothing in these Terms prevents you from doing so, and Section 12.3 applies to you only as set out in its second paragraph.
12.7 Individual Proceedings
TO THE EXTENT PERMITTED BY THE MANDATORY LAW OF YOUR COUNTRY OF RESIDENCE, YOU AND COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON. THIS SECTION DOES NOT APPLY TO CONSUMERS WHERE SUCH A WAIVER IS NOT PERMITTED, INCLUDING CONSUMERS IN THE EEA AND THE UK.
13. Reporting Illegal Content and Intellectual Property Complaints
13.1 Single Point of Contact
Our single point of contact for users, rights holders, and public authorities — including for the purposes of Regulation (EU) 2022/2065 (the Digital Services Act) and equivalent laws in other jurisdictions — is support@crios.ai. You may communicate with us in English. Postal notices may be sent to Crios Pte. Ltd., Attn: Legal / Trust & Safety, 20 Cecil Street, #05-03 Plus, Singapore 049705.
13.2 Notice and Action
If you believe that content hosted through the Services (including any Published App or Published App Content) is illegal, infringes your intellectual property rights, or otherwise violates this Agreement, you may notify us at support@crios.ai. To allow us to act, your notice should include:
- a sufficiently substantiated explanation of why you consider the content to be illegal or infringing, including, for intellectual property claims, a description of the protected work or right;
- the exact location of the content (for example, the URL of the Published App or page and, where relevant, screenshots);
- your name and email address (and, for intellectual property claims, your postal address and, if you act for a rights holder, evidence of your authority), except where the report concerns an offence for which the law allows anonymous reporting;
- a statement confirming your good-faith belief that the information and allegations in your notice are accurate and complete.
We will acknowledge receipt of your notice, review it in a timely, diligent, non-arbitrary, and objective manner, and inform you of our decision and of any means of redress. Where we remove or disable access to content, restrict a Published App, or suspend an account as a result of a notice or of our own review, we will provide the affected user with a clear statement of our reasons (except where prohibited by law) and the possibility to contest the decision through our internal complaint-handling process by emailing support@crios.ai within six (6) months of the decision. We may terminate the accounts of users who repeatedly infringe intellectual property rights or repeatedly provide illegal content, and we may suspend the processing of notices from persons who repeatedly submit manifestly unfounded notices.
13.3 Counter-Notices
If your content was removed or disabled in response to an intellectual property complaint and you believe the removal was in error, you may submit a counter-notice to support@crios.ai identifying the content, explaining why you believe the removal was mistaken, and confirming that you consent to the jurisdiction described in Section 12 for the resolution of the dispute. We may forward your counter-notice to the complainant and may restore the content if the complainant does not commence proceedings within a reasonable period, except where applicable law requires otherwise.
14. Miscellaneous
14.1 Trade and Export Compliance
You represent and warrant that: (i) you are not located in, or ordinarily resident in, a country or territory subject to a comprehensive trade embargo or sanctions imposed by Singapore, the United Nations Security Council, the European Union, or the United Kingdom, or by any other jurisdiction whose sanctions apply to Company or its service providers; and (ii) you are not listed on, or owned or controlled by a person listed on, any applicable list of prohibited or restricted parties. You must not use the Services in violation of applicable export control or sanctions laws, and you must not use the Services to develop or deploy software that is subject to export restrictions without the required authorizations.
14.2 Severability
If any provision of these Terms is found unenforceable or invalid, that provision will be modified and interpreted to accomplish its objectives to the greatest extent permitted by law, and the remaining provisions remain in full force and effect. Where you are a Consumer and a provision is found to be unfair or unenforceable under the law of your country of residence, it will not bind you, and the remaining provisions will continue to apply.
14.3 Waiver
Except as provided herein, failure to exercise a right or require performance of an obligation does not affect a party’s ability to exercise that right or require that performance later, and waiver of a breach does not constitute waiver of any subsequent breach.
14.4 Electronic Communications
Communications between you and Company may take place electronically, whether through the Services or by email. For contractual purposes, you (i) consent to receive communications from Company in electronic form and (ii) agree that all terms, agreements, notices, disclosures, and other communications Company provides to you electronically satisfy any legal requirement that they be in writing, to the extent permitted by applicable law (including the Singapore Electronic Transactions Act 2010 and Regulation (EU) No 910/2014). You may contact us at support@crios.ai. The foregoing does not affect your statutory rights. Where the law requires us to provide information to you on a durable medium, we will do so by email to the address associated with your account.
14.5 Assignment
You may not assign, subcontract, delegate, or otherwise transfer this Agreement or your rights and obligations under it without Company’s prior written consent. Company may assign and transfer this Agreement, including any of its rights, obligations, or licenses, to an affiliate or to a successor in connection with a merger, acquisition, reorganization, or sale of assets, without your consent, provided that the assignment does not reduce the guarantees you have under this Agreement. We will notify you of any such assignment. Any attempted assignment in violation of the foregoing is null and void.
14.6 Modifications
We may modify these Terms, any Supplemental Terms, and the Services from time to time for valid reasons, including changes in law or regulation, security or technical requirements, changes to Model Providers or other Third-Party Services, the introduction or discontinuation of features, or the prevention of abuse. When changes are made, Company will make a new copy of these Terms and any applicable Supplemental Terms available on the Services and update the “Last updated” date above. If we make material changes and you have a registered account, we will also notify you at the email address associated with your account. Unless otherwise stated, changes are effective immediately for users without an account and thirty (30) days after notice for users with an account; changes required by law or necessary to address security risks may take effect sooner. Company may require you to consent to the updated Agreement before further use of the Services.
If you are a Consumer and a change to the Services or these Terms negatively affects your access to or use of the Services in a more than minor way, you may terminate this Agreement free of charge within thirty (30) days of receiving notice of the change (or of the change taking effect, if later) by closing your account or emailing support@crios.ai, and we will refund any prepaid Fees for the period after termination. IF YOU DO NOT AGREE TO ANY CHANGE AFTER RECEIVING NOTICE, YOU MUST STOP USING THE SERVICES.
14.7 Language
These Terms are drafted in English. Any translation we may provide is for convenience only; in case of conflict, the English version prevails to the extent permitted by the mandatory law of your country of residence.
14.8 Entire Agreement and Third-Party Rights
This Agreement (including the documents it refers to) is the entire agreement between you and Company regarding the Services for individuals and supersedes any prior agreements on the same subject. Except for the Company Parties under Sections 10 and 11, no third party has any right to enforce any term of this Agreement (including under the Singapore Contracts (Rights of Third Parties) Act 2001).
